Terms & Conditions

The terms governing your use of DataNetworks Limited's services and website.

These Terms form part of your service agreement with DNX. Please read them carefully.

1. Acceptance of Terms

These Terms and Conditions ("Terms") govern your access to and use of the website, services, and solutions provided by DataNetworks Limited ("DNX", "we", "us", or "our"). By accessing our website, submitting an onboarding request, or using any of our connectivity, cloud, IPTV, or enterprise services (collectively, the "Services"), you agree to be bound by these Terms. If you do not agree, you must not access or use our Services.

2. Definitions

"Customer" means any individual, business, or entity that applies for or receives Services from DNX. "Services" includes broadband internet, IPTV, enterprise connectivity, data center and cloud, wholesale capacity, IoT solutions, managed infrastructure, and any related offerings. "Agreement" means these Terms together with any service order, quotation, or contract executed between you and DNX.

3. Service Provisioning

DNX will use reasonable efforts to deliver the Services in accordance with the agreed service order and applicable specifications. Installation timelines, bandwidth tiers, and service level commitments are as set out in your quotation or service agreement. DNX reserves the right to modify, suspend, or discontinue any Service (or part thereof) with reasonable prior notice, except where otherwise required by law or contract.

4. KYC and Customer Obligations

In line with Nigerian Communications Commission (NCC) and Nigeria Data Protection Regulation (NDPR) requirements, all customers must complete Know-Your-Customer (KYC) verification using a valid National Identification Number (NIN) before service activation. You agree to provide accurate, current, and complete information during onboarding and to update such information when it changes. Provision of false or misleading information may result in suspension or termination of Services without refund.

5. Payments and Billing

Fees for the Services are as set out in your quotation or invoice. Unless otherwise stated, all fees are quoted in Nigerian Naira (NGN) and are exclusive of applicable taxes. Payments are due in accordance with the billing cycle specified in your agreement. Late payments may attract interest charges and/or suspension of Services. Installation and one-time fees are non-refundable once work has commenced, except where DNX is unable to deliver the Service.

6. Acceptable Use

You agree not to use the Services for any unlawful, fraudulent, or abusive purpose, including but not limited to: sending unsolicited communications, infringing intellectual property rights, distributing malware, accessing networks without authorisation, or interfering with the integrity of DNX's network. DNX reserves the right to suspend or terminate access where we reasonably suspect unacceptable use.

7. Intellectual Property

All content, branding, logos, software, and materials on the DNX website and provided with the Services remain the property of DNX or its licensors. You may not reproduce, distribute, or create derivative works from any such content without prior written consent.

8. Privacy and Data Protection

Our collection, use, and protection of your personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the data practices described in our Privacy Policy.

9. Limitation of Liability

To the fullest extent permitted by law, DNX shall not be liable for any indirect, incidental, consequential, or special damages arising from your use of, or inability to use, the Services. DNX's aggregate liability for any claim arising out of or relating to the Services shall not exceed the fees paid by you for the Service giving rise to the claim in the twelve (12) months preceding the event.

10. Warranties and Disclaimers

The Services are provided on an "as is" and "as available" basis. Except where expressly stated in your service agreement, DNX makes no warranties, express or implied, regarding availability, performance, or fitness for a particular purpose. DNX does not warrant that the Services will be uninterrupted or error-free.

11. Termination

Either party may terminate the Services in accordance with the notice period set out in the applicable service agreement. DNX may terminate or suspend Services immediately where there is a material breach of these Terms, non-payment, or compliance with legal or regulatory obligations. Upon termination, you remain liable for all fees accrued up to the date of termination.

12. Force Majeure

DNX shall not be liable for any delay or failure to perform its obligations where such delay or failure is caused by events beyond its reasonable control, including natural disasters, government action, network outages, labour disputes, or failures of third-party providers.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation. Where resolution is not reached, the dispute shall be referred to arbitration in Lagos, Nigeria in accordance with the Arbitration and Conciliation Act.

14. Changes to These Terms

DNX may update these Terms from time to time. Updated Terms will be posted on this page with a revised "last updated" date. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
